The products manufactured by Biotics Research Corporation (“Biotics”) and sold by Biotics or Biotics’ distributors (“Biotics Distributors”) are made available for sale to consumers solely through healthcare professionals (“Healthcare Professionals”). Unrestricted sale of Biotics’ products over the Internet by a healthcare professional does not afford the protection of the consumer that Biotics expects from healthcare professionals utilizing Biotics’ products. Nevertheless, Biotics understands the need for new means of communications between the healthcare professional and their patients. Therefore, Internet sales by healthcare professionals will be permitted only under the limited circumstances specified herein.

Additionally, Biotics and Biotics Distributors pride ourselves on our relationships with our Healthcare Professional clients and believe it is not only prudent but essential for Healthcare Professionals to develop a plan for each patient on an individual basis according to their unique needs. The foundation of Biotics has been partnering with and marketing through Healthcare Professionals. At Biotics, we recognize the Internet is a large infrastructure for consumers seeking information and a worldwide electronic order system. This Internet policy is to reinforce Biotics’ commitment to quality and safety for the public. To that end our products are to be sold only after consideration by a Healthcare Professional. This policy is intended to protect consumers and Healthcare Professionals as well as Biotics and allows us to maintain Biotics’ distinctive position in the marketplace.
SUGGESTED RETAIL PRICING:
Biotics Internet Pricing Policy is all Healthcare Professionals selling any Biotics products on-line are to sell all such products at or above the suggested retail prices. Any savings or discount programs including; advertisements, discounts, rewards programs, coupons, special offers, sales, promotions, etc. on websites must state “Not valid on Biotics’ products” and product total sales must be equal to or greater than suggested retail pricing.
Healthcare Professionals may provide a Private Patient code to Private Patients being treated by the Healthcare Professional. The Private Patient code will be entered upon checkout this will allow the patient to receive the discount as they would in the Healthcare Professional’s office. The restrictions for the Private Patient code are as follows: the code must not be provided to any other persons through e-blasts, may not be visible on the website and must not be available to anyone other than the Healthcare Professionals’ Private Patients who actually visit the Healthcare Professional in the office at least once per year. To receive the Healthcare Professional’s discount, the Private Patient must enter the term “Patient Code”; i.e., any term or phrase that would otherwise implying a discount, special, sale, coupon, etc. may not be used. Biotics will deem any mention or reference to discounts, automated patient code distribution, price reductions, special call-in pricing, coupons, price-matching policies or any other special promotion or offer on Biotics products to be in violation of this policy and the Healthcare Professional’s account(s) will be subject to immediate suspension and / or termination. If a Healthcare Professional is found to have emailed the code to an email database that includes persons other than private patients, the option to discount to private patients via an online website will be revoked. Repeated or continuous violations will result in immediate termination of the Healthcare Professional’s account.

Who are “Private Patients?”
Private Patients are described as those who have consulted and have physically been seen by the Healthcare Professional in their clinic or office within the last twelve (12) months.
What is “password protected?”
Password protected indicates the Healthcare Professional has issued a username and pass code to afford their Private Patient access to pricing and ordering product(s) on their website(s).
Who issues passwords?
A user name and pass code will only be issued by the Healthcare Professional at the request of a Private Patient.
Can Biotics trademarks and logos be used?
Limited use of Biotics’ trademarks and logos will be considered on an individual basis. Biotics’ retains all rights to its trademarks and logos. Written authorization is required prior to use on any website and subject to change at Biotics’ discretion.
What are the repercussions for an account that is in violation to Biotics’ policy?
Formal written notification will be issued stipulating the violation must be rectified and fully compliant within a ten (10) day period. If compliance is not met within the ten (10) day period the account will be suspended and/or terminated.
